Dear Counsel:

We are today stopping the clock on consideration of the license transfer applications related to the proposed merger between AOL and Time-Warner. As you know, the clock may be stopped for a limited number of reasons that reflect circumstances largely beyond the agency's control. It is the FCC's normal practice to wait for action by the antitrust agency (Department of Justice or the Federal Trade Commission) before taking its own action because the factual basis for the FCC's review of whether a license transfer is in the public interest may be affected by the antitrust agency's determinations. Once the Federal Trade Commission has acted, we will promptly publish an anticipated timeline for FCC action.
