("MediaOne") CS Docket No. 99-251 Dear Ms. Truong: I am writing to inform you that, on May 1, 2000, MediaOne closed the sale of 9 million of its shares in Time Warner Telecom, Inc. (TWT). With the sale of these shares, MediaOne also lost the right to appoint directors to TWT's board, and its board representatives therefore resigned effective May 1, 2000. MediaOne continues to own 6,289,842 shares of TWT Class B stock, which represent less than 6 percent of TWT's total outstanding shares. The ownership of this stock gives MediaOne a 7.7 percent voting interest in TWT. Inasmuch as MediaOne's financial interest in TWT is now less than 10 percent and it lacks any management interest in TWT, the question of whether Section 652(b) of the Communications Act applies to AT&T's acquisition of MediaOne is moot.
