  WIRELESS TELECOMMUNICATIONS BUREAU GRANTS CONSENT 
    TO SBC COMMUNICATIONS INC., AMERITECH WIRELESS
  COMMUNICATIONS, INC., AT&T WIRELESS PCS, LLC, AND
INDIANA ACQUISITION, L.L.C. TO TRANSFER CONTROL OF OR TO
              ASSIGN WIRELESS LICENSES

     Pursuant to sections 4(i) and 310(d) of the Communications Act of 1934, as amended, 47
U.S.C.  154(i), 310(d), and section 0.331 of the Commission's rules, 47 C.F.R.  0.331, the
Wireless Telecommunications Bureau approves the applications of SBC Communications Inc.
("SBC"), Ameritech Wireless Communications, Inc. ("Ameritech Wireless"), AT&T Wireless
PCS, LLC ("AWP"), and Indiana Acquisition, L.L.C. ("Indiana Acquisition") requesting
Commission consent to (1) the transfer of control to AWP of licenses and authorizations
currently controlled by subsidiaries and affiliates of SBC; (2) the reciprocal assignment of
licenses between Ameritech Wireless and AWP; and (3) the reciprocal assignment of licenses
between Ameritech Wireless and Indiana Acquisition.  These applications pertain to Personal
Communications Services.  No comments or petitions to deny were received in response to the
public notice announcing that the applications had been accepted for filing.  See DA 00-1893,
released August 17, 2000.  

     This transaction is related to the proposed U.S. wireless joint venture between SBC and
BellSouth Corporation ("BSC").  On May 4, 2000, SBC and BSC filed applications seeking
consent to transfer control of most of their domestic mobile wireless authorizations and related
international 214 authorizations to a newly created joint venture, Alloy LLC ("Alloy").  The
transaction contemplated by the applications granted herein is intended to resolve PCS-cellular
overlaps that would otherwise result in the Indianapolis MTA from the combination of SBC's
and BSC's wireless properties. 

     Pursuant to section 1.103 of the Commission's rules, 47 C.F.R.  1.103, the consent
granted herein is effective upon release of this Public Notice.  Pursuant to sections 1.106(f) and
1.115(a) of the Commission's rules, 47 C.F.R.  1.106(f), 1.115(a), petitions for reconsideration
and applications for review may be filed within thirty days of the release of this public notice.
