On August 11, 1999, the shareholders of MidMissouri Telephone Company filed amendments to their applications in response to issues raised by Limited Partners' Petitions.  S7'3.` ` By this Order, we grant the abovecaptioned transfer of control applications filed by MidMissouri Telephone Company and MidMissouri Holding Corp. and deny Limited Partners' Petitions. Limited Partners make three arguments in support of their Petitions. First, Limited Partners contend that MidMissouri Telephone Company has failed to demonstrate its financial ability to  Sl'acquire and operate the facilities, pursuant to section 22.937 of the Commission's rules.bl  {O'ԍPetitions at 3. S'4.` ` Second, Limited Partners argue that MidMissouri Telephone Company has not  S'provided sufficient ownership information to provide a basis for grant.@ * yO 'ԍPetitions at 3.@ Limited Partners provide no support for this assertion. We find that the Application and ownership disclosure information provided by MidMissouri Holding Corp. set forth sufficient information to provide a basis for grant.  S'5.` ` Finally, Limited Partners request that grant of the transfer applications be deferred or held in abeyance, pending the outcome of litigation in the Missouri Court of Appeals. The issue in the Missouri Court of Appeals concerns whether the proposed transfer violates the terms of the Missouri RSA No. 7 Limited Partnership Agreement because Limited Partners were not offered the  S6 'right of first refusal pursuant to the terms of that agreement.# &6 B* {O' " ԍMidMissouri Telephone Company has successfully obtained summary judgment on this issue.
