WASHINGTON, D.C. 20554 News media information 202/418-0500 Fax-On-Demand 202/418-2830 Internet: http://www.fcc.gov ftp.fcc.gov Network Services Division April 9, 1998 Common Carrier Bureau Section 214 application accepted for filing: File No. W-P-C-7158 Applicants: Ameritech Illinois Metro, Inc. and Illinois Bell Telephone Company Ameritech Illinois Metro, Inc. (AIM) and Illinois Bell Telephone Company (Ameritech Illinois) filed an application on April 7, 1998, requesting pro forma assignment of the section 214 authorization of AIM to Ameritech Illinois. AIM and Ameritech Illinois state that the requested assignment will facilitate the planned merger of AIM into Ameritech Illinois. AIM and Ameritech Illinois state that the requested assignment represents the final step of a two-step transaction, in the first step of which AIM purchased local exchange assets (the Facilities) from Central Telephone Company of Illinois (Central) in the Chicago area, and that, after this transaction, Ameritech Illinois (AIM's 100 per cent parent) will own and operate the Facilities. AIM and Ameritech Illinois explain that Ameritech Illinois chose the two-step procedure, with interim ownership of the Facilities by AIM rather than direct purchase by Ameritech Illinois, to avoid first having the Facilities undergo conversion to Ameritech Illinois' state-level price caps. AIM and Ameritech Illinois assert that grant of this application would serve the public interest because it would result in greater efficiency through the elimination of AIM as interim owner, that Ameritech Illinois will commence operation seamlessly to customers, and that grant of the application would not result in reduction or impairment of competition because it would merely authorize a pro forma assignment whereby Ameritech Illinois will remain the ultimate parent. AIM and Ameritech Illinois also request expedited treatment, which they assert is warranted because the proposed merger would not result in a transfer of control and the application presents no novel issues. AIM and Ameritech Illinois for these reasons request that the application be placed on 15 days public notice pursuant to 47 C.F.R 63.52(b). AIM and Ameritech Illinois also request a waiver of the information requirements of 47 C.F.R 63.01, which they assert are not necessary to the application. The application, upon initial review, appears to be complete and has been accepted for filing. The Commission reserves the right to return this application, if, upon further examination, it is determined that it is defective or not in substantial compliance with the Commission's rules. Final action will not be taken on this application until the expiration of 15 days following the date of this notice. Petitions to deny this application must be filed with the Commission and served upon the applicants within 15 days of the date of this notice. It is requested that such petitions refer to the application file number shown above. Petitions should be sent to the Office of the Secretary, Federal Communications Commission, 1919 M Street, N.W., Washington, D.C., 20554. Two copies of the petition should also be sent to Network Services Division, 2000 M Street, N.W., Washington, D.C. 20554. Copies of the applications are available for public inspection in Room 220, 2000 M St., N.W., Washington, D.C.
