Washington, D.C. 20554 FCC 97-328 Released September 15, 1997 COMMISSION APPROVES INCORPORATION DOCUMENTS FOR UNIVERSAL SERVICE ADMINISTRATIVE COMPANY, SCHOOLS AND LIBRARIES CORPORATION, AND RURAL HEALTH CARE CORPORATION CC DOCKET NOS. 96-45, 97-21 Pursuant to the Report and Order and Second Order on Reconsideration released by the Commission on July 18, 1997 in Changes to the Board of Directors of the National Exchange Carrier Association, Inc., and Federal-State Joint Board on Universal Service, CC Docket Nos. 97-21 and 96-45, the Commission directed the National Exchange Carrier Association, Inc. (NECA) to establish the Universal Service Administrative Company (USAC), the Schools and Libraries Corporation, and the Rural Health Care Corporation to perform specified functions relating to administering the universal service support mechanisms. The July 18th Order further directed NECA to submit to the Commission for approval proposed articles of incorporation, bylaws, and any documents necessary to incorporate USAC and the Corporations. Upon review of the documents submitted to the Commission by NECA on August 1, 1997, the Commission has determined that the proposed incorporation documents, as amended, comply with the requirements set forth in the Commission's July 18th Order. The Commission therefore directs NECA to file the relevant incorporation documents with the Secretary of State of the State of Delaware on behalf of USAC, the Schools and Libraries Corporation, and the Rural Health Care Corporation as soon as possible.
