Simons, Esq., as Trustee on behalf of GTE Corporation ("Trustee"), and AT&T Wireless Services of California, Inc. ("AT&T") filed applications under Section 310(d) of the Communications Act of 1934, as amended, 47 U.S.C.  310(d), seeking Commission approval for transfer of control of certain cellular and point-to-point microwave authorizations held by GTE Wireless San Diego LLC to AT&T. To comply with the Consent Decree among GTE Corporation ("GTE"), Bell Atlantic Corporation ("Bell Atlantic"), Vodafone AirTouch Plc and the Department of Justice, the private parties were required to divest one cellular system in the San Diego MSA prior to the merger of GTE and Bell Atlantic. On June 29, 2000, GTE transferred control of the Part 22 and Part 101 licenses for its San Diego cellular properties to the Trustee. Subsequent to this transfer, the Trustee accepted assignment of the earlier agreement between GTE and AT&T regarding the sale of GTE's San Diego cellular system to AT&T. Accordingly, the Trustee is the Transferor for purposes of this application. The following application for transfer of control has been filed and has been assigned the file number indicated below.
