AND PCO ACQUISITION CORP. Pursuant to Section 310(d) of the Communications Act of 1934 as amended, 47 U.S.C.  310(d), and Section 0.331 of the Commission's Rules, 47 C.F.R.  0.331, the Public Safety and Private Wireless Division (Division) grants, subject to the conditions set forth below, the WNP Communications, Inc. (WNP) and PCO Acquisition Corp. Sections 1.2111(d) and 101.1107(e)(1) of the Commission's Rules requires a licensee that utilizes a bidding credit, and that during the initial license term seeks to assign a license to an entity that does not meet the eligibility criteria for a bidding credit, to reimburse the U.S. Government for the amount of the bidding credit, plus interest based on the rate for ten-year U.S. Treasury obligations applicable on the date the license is granted as a condition of Commission approval of the assignment of license. This approval is conditioned upon the receipt by the Commission of the amount of the bidding credit plus any accrued unpaid interest within thirty days from the date of this notice. If the Commission does not receive all of the payments within thirty days from the date of this notice, the Commission's consent to the assignment will automatically cancel. By this approval, the parties are authorized to proceed to the final stages of their respective transaction. Section 1.948(d) of the Commission's rules provides that the transaction must be consummated and notice provided to the Commission within sixty days of the release of the public notice granting consent to the transaction. Hence, we remind parties that this assignment shall not be considered complete until the underlying transaction closes and all conditions set forth in the grant documents, including this Public Notice and the application, are met. Upon receipt of the consummation letter required by Section 1.948(d) of the Commission's Rules, and satisfaction of all requisite conditions, including execution of the appropriate documents, the Division will consider the assignment "complete". Failure of the parties to comply with Section 1.948(d) of the Commission's Rules, or any specific condition described above, will result in automatic cancellation of the Commission's consent to this assignment.
