By this Order, we partially grant a request for waiver of Section 21.955(b) of the  xCommission's rules, 47 C.F.R.  21.955(b), filed by Pacific Wireless Cable, Inc. (Pacific), the  x.winning bidder in Guam, Basic Trading Area (BTA) 490, in the Multipoint Distribution Service  xz(MDS) auction. Upon consideration of the circumstances that resulted in Pacific's failure to  xLtimely remit the required second down payment on this authorization, we conclude that Pacific  xis not entitled to an entire waiver of the down payment rules. For the reasons set forth below,  xPacific is subject to a late fee of $208.25, which is five percent of the amount that was not timely paid.  X0-  }x2. Background. On March 28, 1996, the Commission concluded the MDS auction.  X- xPacific was the winning bidder on two BTA authorizations. yO-  ԍxThe authorizations are number B490 for the Guam BTA with a net bid of $41,650, high bid of $49,000 less  xithe fifteen percent bidding credit for eligible small business entities; B493 for the Northern Mariana Islands, with  xa net bid of $139,400 (high bid of $164,000). 47 C.F.R.  21.960. As a small business entity, Pacific was also  xeligible for reduced upfront payments and an installment payment plan. The down payment for B493 was timely and the BTA authorization was granted by public notice on August 16, 1996. On March 29, 1996, the  X- xCommission announced by Public NoticebZx yO+!-  ԍx"Winning Bidders in the Auction of Authorizations to Provide Multipoint Distribution Service in 493 Basic  xTrading Areas: Down Payments Due April 5, 1996, FCC Form 304s/Statement of Intention Due May 10, 1996,"  {O"-Public Notice (rel. March 29, 1996).b that, pursuant to Section 21.955 of the Commission's  xrules, winning bidders that qualified as small businesses would be required to submit, within five  xbusiness days, sufficient funds to bring their total deposits with the Commission to ten percent"0*''ZZ0"  X- xof the sum of their winning bids, less the applicable fifteen percent bidding credit.xS yOy-  ԍxSection 21.955(a) provides that "[w]ithin five (5) business days after being notified that it is a winning  xbidder on a particular BTA service area(s), a winning bidder must submit . . . funds as are necessary to bring its total  xdeposits . . . up to twenty (20) percent of its winning bid(s) . . . ." Section 21.955(b) provides that "[w]inning  xbidders who are small businesses eligible for installment payments under  21.960(b) are only required to bring their  xtotal deposits up to ten (10) percent of their winning bids. Such small businesses must pay the remainder of the  xtwenty (20) percent down payment within five (5) business days following release of the public notice stating that their BTA authorizations are ready to be issued." 47 C.F.R.  21.955.   x=Consequently, pursuant to Section 21.960(b)(1), on April 3 and April 5, 1996, Pacific submitted  xMinitial down payments for the two authorizations in the amount of $10,266, bringing its total  x[amount on deposit with the Commission, including its upfront payment of $7839, to $18,105, or ten percent of its net winning bids.   {x3. On October 4, 1996, the Mass Media Bureau released a public notice notifying certain  xMDS applicants that the Bureau was prepared to issue BTA authorizations, including the  XH- xapplication filed by Pacific for B490.HS {O- xԍ "Mass Media Bureau Prepared to Issue Multipoint Distribution Service BTA Authorizations," Public Notice,  yO-Report No. D884 (rel. October 4, 1996).hh In that public notice, applicants who qualified as small  xbusinesses were required to submit additional funds to bring their total deposits with the  xgovernment to twenty percent of their net winning bids by October 11, 1996. The down payment  x>owed by Pacific for B490 as of October 11, 1996, was $4165. Pacific's payment was initiated  X - xby wire transfer at 6:14 p.m. on October 11, 1996. b S yO-  ԍxPacific's down payment was untimely because it failed to comply with the public notice, which directed that  x"[w]ire transfer payments must be received by 6:00 p.m. Eastern Time, October 11, 1996" and advised applicants  xmaking wire transfer payments to "allow sufficient time for the wire transfer to be initiated and for the transmission  {OW- xKto be completed prior to the deadline."  Id. at  6 (emphasis omitted). Pacific concedes that its wire transfer was initiated at 6:14 p.m. on October 11, 1996. On October 15, 1996, Pacific filed a request  X -for waiver of this second down payment deadline. S yO-  \ԍxLetter requesting rule waiver filed October 15, 1996, by Jonathan B. Mirsky, counsel for Pacific Wireless Cable, Inc., to Gerald P. Vaughan, Deputy Chief, Wireless Telecommunications Bureau.    ?x4. On October 18, 1996, the Mass Media Bureau and the Wireless Telecommunications  xBureau issued a joint public notice seeking comment on down payment waiver requests filed by  xMultipoint Distribution Services (MDS), Broadband C Block Personal Communications Services,  Xb- xand 900 MHz Specialized Mobile Radio (SMR) applicants in connection with three auctions.+$blS yO"-  [ԍx"Pleading Cycle Established for Waivers of Down Payment Rules in the Broadband Personal Communication  {OG#- x;Services C Block, 900 MHz Specialized Mobile Radio, and Multipoint Distribution Service Auctions," Public Notice,  {O$- xDA 961692 (rel. October 18, 1996). This Public Notice listed a total of 17 applicants who requested waivers: eight applicants in C Block, eight applicants in 900 MHz SMR, and one MDS applicant.+ "bX0*%%ZZJ"  xSubsequently, on November 14, 1996, the Mass Media Bureau issued an additional public notice  X- xseeking comment on the waiver request filed by Pacific.S yOb-  ԍx"Pleading Cycle Established for Comments on Waiver of Down Payment Rules in Multipoint Distribution  {O*-Service Auction," Public Notice, DA 961900 (rel. November 14, 1996). No comments were submitted with  X-respect to the Pacific waiver request, however.  X- x  X-  x5. Discussion. The procedures for the submission of down payments for small business  X- xMDS entities are set forth in Section 21.955(b) of the Commission's rules.S "S {O` -ԍxSee footnote 3, supra.S Under this rule, an  x\applicant must remit the required second down payment within five business days after the  xCommission declares by public notice that it is prepared to issue that applicant's BTA  xauthorization. To receive a waiver of this rule requiring timely down payments, a waiver request  xkmust demonstrate either that: "(a) [t]he underlying purpose of the rule will not be served, or  x would be frustrated, by its application in the particular case, and that grant of the waiver is  x[otherwise in the public interest, or (b) [t]he unique facts and circumstances of a particular case  x-render application of the rule inequitable, unduly burdensome or otherwise contrary to the public  X - xiinterest."J S yO:-ԍx47 C.F.R.  21.19. J As the Commission has previously noted, the integrity and functioning of the auction  X - xprocess is dependent on winning bidders meeting their down payment obligations promptly.  DS {O-  ԍxSee BDPCS, Inc., Emergency Petition for Waiver of Section 24.711(a)(2) of the Commission's Rules,  {O}-Memorandum Opinion and Order, FCC 96498,  78 (rel. January 6, 1997).  xZTimeliness of such payments is a necessary indication to the Commission that the winning bidder  xis financially able to meet its obligations on the license and intends to use the license for the  Xy- xprovision of services to the public. In the Second Report and Order in the Competitive Bidding  xdocket, the Commission established general rules and procedures to be used for all auctionable  xservices. In establishing the timing of down payments, the Commission noted that this  x<requirement would also deter defaults by discouraging financially unqualified bidders who might  X-"shop" a winning bid in order to obtain financing for a down payment. S yOp-ԍxImplementation of Section 309(j) of the Communications Act Competitive Bidding, PP Docket No.  {O8-93253, Second Report and Order, 9 FCC Rcd 2348, 2382 (1994).   x6. In its waiver request, Pacific asserts that its payment was late owing to inadvertent  xjerrors and difficulties with accessing and transferring the funds. Pacific explains that "the wire  xtransfer was initiated late because of an inadvertent employee error resulting from a management  X- x=restructuring of an affiliated company."E  S yOW$-ԍxPacific letter at 1.E According to Pacific, the recent restructuring added" 0*%%ZZp"  xvarious financial controls, including new requirements for the authorization of wire transfers and  x<checks by a member of the board of directors, in particular, that any transfer between the wireless  xcable operator O'ahu Wireless Cable, Inc. (OWC) and Pacific "must now take the form of a  xcheck and that the signature of a member of the board of directors was required on a wire  X- xtransfer."@S {O-ԍxId. at 2.@ Pacific submits that the new requirement was inadvertently neglected until the  x.morning of October 11, 1996. At that time, efforts to remit the funds were further hampered by  x.the sixhour time delay between the respective time zones of OWC and Pacific. In sum, by the  xtime the instrument of transfer could be signed by a member of the board of directors and physically conveyed to the bank, it was 6:14 p.m. eastern time.   x7. We believe that Pacific has presented sufficient facts to justify the grant of a partial  x\waiver of the down payment rule. Clearly, upon receiving notice, Pacific initiated its normal  xprocedure to access the funds, and acted promptly to deal with the mechanical and practical  xdifficulties which arose. Therefore, Pacific's actions demonstrate that, but for the circumstances  x=explained to the Commission, it would have been able to meet its payment obligations on time.  xFurther, the record indicates that prior to the second down payment, Pacific made all previously  x>required auction payments on time and in full. There is no indication that Pacific sought to  xdeliberately delay payment of the amount due. We conclude that upon receiving notice, Pacific  Xb- xgenerated a concerted effort to access and remit the down payment amount, thus demonstrating a good faith endeavor to comply with the auction payment rules.   x8. Based on the foregoing, we conclude that a strict application of the down payment  xdeadline specified in Section 21.955(b) would not serve the public interest in this instance. Such  x[a course would result in the Commission declaring Pacific in default, cancelling " rof the license and  X- x?imposing a default penalty.KZS yO-ԍxSee 47 C.F.R.  21.959.K In this connection, it is notable that Pacific's payment was  x\transmitted on October 11, 1996, albeit after the close of business. Further, unlike the initial  xpayment, an untimely remittance of the second down payment does not alter either the timing of  xthe auction or our own review of the applicant's qualifications. Rather, the principal effect of  x>the late payment of the second down payment, from a procedural viewpoint, is to delay the  xiissuance of the applicant's authorization. An applicant's failure to timely submit the second down  xpayment, while still a delinquency, is comparatively less disruptive to the auction process.  xAccordingly, we believe that some flexibility is appropriate in addressing a minor delinquency  X - x<with respect to the second down payment. See, e.g., Southern Communications Systems, Inc., 12  xFCC Rcd 1532 (1997 Wireless Tel. Bur.) (granting partial waiver where applicant was unaware  X- xof the release of the public notice and submitted payment one day late); MFRI, Inc., 12 FCC Rcd  x1540 (1997 Wireless Tel. Bur.) (granting partial waiver where, owing to applicant's internal  X - x<administrative errors, the payment was one day late); Longstreet Communications International," 0*%%ZZ"  X- xkInc., 12 FCC Rcd 1549 (1997 Wireless Tel. Bur.) (granting partial waiver where applicant was unaware of the release of the public notice and submitted payment seven days late).   Nx9. We do not believe that Pacific is entitled to a total waiver of the down payment rules,  xhowever. Although Pacific's late payment here was due to an administrative delay in accessing  xZfunds, the disbursement authorization was a requirement of Pacific's own business procedure and  xtherefore foreseeable. It is the applicant's responsibility to anticipate such requirements and  x[ascertain fund availability in order to comply with specified payment deadlines throughout the  x.auction process. The fact that Pacific did not anticipate the delays occasioned by compliance  xwith its own internal company procedures does not excuse its failure to make timely payment.  xUnder the circumstances, we conclude that Pacific should be subject to a late fee of five percent  xof the $4165 that was not timely paid, or $208.25. This amount is commercially reasonable and  X -serves to underscore the importance of making timely auction payments. xx   x10. Accordingly, IT IS ORDERED, that the request for waiver filed by Pacific Wireless  x Cable, Inc. IS HEREBY GRANTED IN PART, subject to a five (5) percent late fee, as herein  xspecified. Pacific Wireless Cable, Inc. must pay a late fee of $208.25, in accordance with the  X{- xiinstructions set forth in Attachment A, within five business days from the release date of this  xNOrder. The Mass Media Bureau will issue the BTA authorization for B490 and the MDS  xjconditional station license for File Number BMDP960510KN following notification of receipt of  xthe required payment.
