Network Long Distance, Inc. (Network), pursuant to Section 214 of the Communications Act of 1934, as amended, jointly with Long Distance Telecom, Inc. d/b/a Blue Ridge Telephone (BRT), Eastern Telecom International Corporation (Eastern), National Teleservice, Inc. (NTI), and United Wats, Inc. (UWI), respectively, submitted the above-captioned application, requesting authority to transfer control of all four companies to Network. Three of the applications were placed on public notice on October 24, 1997, and one was placed on public notice on November 5, 1997. No comments were received. 2. Network, BRT, Eastern, NTI and UWI are all authorized by the Commission to provide resale of international switched services between the United States and overseas points. Network and each of the other companies have entered into Share Exchange Agreements, pursuant to which Network will purchase all the outstanding stock of each company, and each of the four companies will become a separate wholly-owned subsidiary of Network. 3 Upon consideration of the application and in view of the foregoing, we conclude that consent to transfer control of BRT, Eastern, NTI and UWI to Network will serve the public interest, convenience and necessity. 4 Accordingly, IT IS ORDERED that applications File Nos. ITC-97-623-TC, ITC- 97-624-TC, ITC-97-625-TC and ITC-97-655-TC ARE GRANTED, and the transfer of control of BRT, Eastern, NTI and UWI to Network is authorized. 5 IT IS FURTHER ORDERED that all terms and conditions of any Commission orders granting authority to BRT, Eastern, NTI and UWI to provide common carrier services remain in effect. 6 This Order is issued under Section 0.261 of the Commission's Rules and is effective upon adoption. Petitions for reconsideration under Section 1.106 or applications for review under Section 1.115 of the Commission's Rules may be filed within 30 days of the date of public notice of this Order (see Section 1.4(b)(2)).
