(OTELCO), pursuant to Section 214 of the Communications Act of 1934, as amended, submitted the above-captioned application requesting authority to transfer control to one of its present stockholders, Bryan A. Corr. The application was placed on public notice on November 15, 1996. No comments were received. 2.OTELCO is a closely held corporation, organized under the laws of the state of Alabama, which is authorized to provide international resale services. It has three stockholders, which will continue to be the only stockholders: Richard C. Corr, Jr.--53.80%, Doris Corr--42.18%, and Bryan A. Corr--4.01%. The proposed change is a transfer of voting stock for non-voting stock and will result in holdings as follows: Richard C. Corr--7.80%, Doris Corr--42.18%, and Bryan A. Corr-- 50.02%. Thus, a transfer of control will take place. 3.Upon consideration of the application and in view of the foregoing, we conclude that the proposed transfer of stock of OTELCO will serve the public interest, convenience and necessity. 4.Accordingly, IT IS ORDERED that application File No. I-T-C-96-610(TC) IS GRANTED, and OTELCO is authorized to transfer stock and thus control from Richard C. Corr to Bryan A. Corr. 5.IT IS FURTHER ORDERED that all terms and conditions of any Commission orders granting authority to OTELCO to provide common carrier services remain in effect. 6. This Order is issued under Section 0.261 of the Commission's Rules and is effective upon adoption. Petitions for reconsideration under Section 1.106 or applications for review under Section 1.115 of the Commission's Rules may be filed within 30 days of the date of public notice of this Order (see Section 1.4(b)(2)).
