Prime Telecommunications, LLC (Prime), a corporation authorized to provide resale of international switched telecommunications services, filed an application, pursuant to Section 214 of the Communications Act of 1934, as amended, requesting authority to transfer control to Prime World Ventures, Inc. (PWV), which will own 50% of the outstanding stock, and the following individuals who will acquire the other 50% of the stock: Jay N. Angeles-25%, and Samuel Olaso-25%. The application was placed on public notice on June 28, 1996. No comments were received. 2. PWV is a Philippines corporation which does not provide any communications services. Prime states that it has not yet begun to provide service and needs capital in order to do so. Prime states that this change in ownership will provide it with the necessary capital to operate. Prime will continue to hold the Section 214 authority which was granted to it. 3. In view of the foregoing, we conclude that grant of the instant application will serve the public interest, convenience and necessity. 4. Accordingly, IT IS ORDERED that the application of Prime IS GRANTED, and the transfer of control of Prime to PWV, Jay N. Angeles and Samuel Olaso is authorized. 5. IT IS FURTHER ORDERED that all terms and conditions of any Commission orders granting authority to Prime to provide common carrier services remain the same. 6. This Order is issued under Section 0.261 of the Commission's Rules and is effective upon adoption. Petitions for reconsideration under Section 1.106 or applications for review under Section 1.115 of the Commission's Rules may be filed within 30 days of the date of public notice of this Order (see Section 1.4(b)(2)).
