S-WM BACKGROUND \  S9- Ԋ2.` ` Pursuant to Section 614 of the Communications Act and implementing rules adopted by  S- d(#the Commission in its Report and Order in MM Docket 92259,U {Oe!-#X\  P6G;ɒP#э8 FCC Rcd 2965, 29762977 (1993) ("Must Carry Order"). commercial television broadcast stations  d(#are entitled to assert mandatory carriage rights on cable systems located within the station's market. A  d(#station's market for this purpose is its "area of dominant influence," or ADI, as defined by the Arbitron"F,((II"  S- d(#audience research organization.Y  yOh-#X\  P6G;ɒP#эSection 614(h)(1)(C) of the Communications Act, as amended by the Telecommunications Act of 1996, provides that a station's market shall be determined by the Commission by regulation or order using, where  {O-available, commercial publications which delineate television markets based on viewing patterns. See 47 U.S.C. 534(h)(1)(C). Section 76.55(e) of the Commission's rules provides that the ADIs to be used for purposes of the  {O-initial implementation of the mandatory carriage rules are those published in Arbitron's 19911992 Television  {OT-Market Guide. The Commission recently concluded that it was appropriate to switch market definitions from ADIs to Nielsen Media Research's designated market areas ("DMAs") for mustcarry/retransmission consent  {O-elections. See Definition of Markets for Purposes of the Cable Television Mandatory Television Broadcast Signal Carriage Rules, Report and Order and Further Notice of Proposed Rule Making, CS Docket No. 95178,  {Ox -11 FCC Rcd 6201 (1996) ("Market Modification Report and Order"). In its Market Modification Report and  {OB -Order, the Commission decided to use Arbitron's 19911992 Television ADI Market Guide market designations for the 1996 election and postpone the switch to Nielsen's DMAs until the mustcarry/retransmission consent  {O -election that is to take place on October 1, 1999. The Commission also issued a Further Notice in its Market  {O -Modification Report and Order to solicit additional information and provide parties an opportunity to further consider issues relating to the transition to market designations based on Nielsen's DMAs.Y An ADI is a geographic market designation that defines each television market exclusive of others, based on measured viewing.  S- 3.` ` Under the Commission's mustcarry rules, cable operators have the burden of showing that  S`- d(#ya commercial station that is located in the same television market is not entitled to carriage.|`X  {OX-#X\  P6G;ɒP#эSee Must Carry Order at 2990.| One method  d(#of doing so is for a cable operator to establish that a subject television station's signal, which would  d(#otherwise be entitled to carriage, does not provide a good quality signal to a cable system's principal  S- d(#/headend.y yOr-#X\  P6G;ɒP#э47 C.F.R. 76.55(c)(3).y Should a station fail to provide the requisite overtheair signal quality to a cable system's  S- d(#yprincipal headend, it still may obtain carriage rights because under our rules a station may provide a cable  d(#operator with specialized equipment, at the station's expense, which will improve the station's signal to  Sp-an acceptable quality at a cable system's principal headend.xpz {O-#X\  P6G;ɒP#эMust Carry Order at 2991.x  S -  4.` ` Television stations must follow the schedules set out in Section 76.64(f) of our rules for  S - d(#making mandatory elections for must carry status.x  {O-#X\  P6G;ɒP#эSee 47 C.F.R.  76.64(f) (1997).x Section 76.61(a) of the rules provides that a television  d(#station that believes a cable operator has failed to meet its carriage obligations shall notify the cable  d(#koperator in writing of the alleged failure and identify its reasons for believing the operator is obligated  d(#.to carry the station's signal. The rule provides the cable operator thirty days in which to provide notice  d(#to the station of a refusal of carriage and a statement of the basis for such refusal. The rule further  d(#provides that in case of a denial of carriage or absence of a response from the operator the station may  d(#-file a complaint with the Commission pursuant to the must carry complaint procedures provided in Section",>(>(II"  S- d(#76.7 of the rules.x  {Oh-#X\  P6G;ɒP#эSee 47 C.F.R.  76.61(a) (1997).x Section 76.7 provides deadlines for the filing of Section 76.61 complaints and cable  S-system responses to such complaints. S-  MARKET FACTS AND ARGUMENT ă  S8- 5.` ` Paxson's complaint states that by letters dated October 27, 1997, requests were made for  d(#ycarriage of KPXCTV on Galaxy's cable systems. Paxson states further that the letters informed Galaxy  d(#that KPXCTV was entitled to carriage and that the station delivers a quality signal to the principal  d(#headends of the cable systems. Paxson states further that the letters informed Galaxy of its commitment,  d(#in the event it should be shown that a quality signal is not delivered, to purchasing and installing the  d(#requisite equipment necessary to ensure delivery of a good quality signal. Paxson contends that Galaxy  d(#was obligated under Section 76.61(a)(2) of the Commission's rules to respond to the requests within thirty  d(#days of receipt of the letters. Paxson asserts that Galaxy neither responded to the requests nor added  d(#KPXCTV to the cable systems' line up. Paxson asserts further that the complaint was filed within sixty  d(#days of Galaxy's failure to respond and is therefore timely filed under Section 76.7(c)(4)(A) and (B) of the rules.  SX- }6.` ` The complaint shows that television station KPXCTV is located in Denver, Colorado and  d(#[in the Denver ADI. Paxson asserts that the cable systems operated by Galaxy serving Lyons, Colorado,  d(#[and portions of Larimer County, Colorado are also located in the Denver ADI, and that Galaxy's carriage  d(#of KPXCTV will not cause any increase in Galaxy's copyright liability. Paxson argues therefore that  d(#.KPXCTV is a local television station qualified under the provisions of 47 C.F.R.  76.55(c) for carriage  d(#on Galaxy's cable systems, and asserts that KPXCTV delivers a good quality signal to the headends of  d(#Galaxy's cable systems. Paxson contends that since it has committed to purchase the equipment necessary  d(#to ensure signal delivery to Galaxy's cable system headends, an order for carriage of KPXCTV should be issued.  S- 7.` ` Galaxy contends in opposition that the complaint should be dismissed as untimely filed.  d(#Galaxy asserts that the complaint fails to disclose that Paxson had previously requested carriage on its  d(#cable system by letters dated September 30, 1996 or that those earlier must carry requests were denied  SP- d(#by letters dated January 6, 1997. P yO-#X\  P6G;ɒP#эGalaxy claims further that the October 27, 1997 letters on which Paxson relies are nearly identical to the earlier September 30, 1996 carriage requests. It argues that since the complaint was not filed until January 23, 1998,  d(#over 480 days after the September 1996 carriage requests were made and over a year after the January  d(#1997 denials of those requests, the complaint is untimely filed and must be dismissed pursuant to Section  S- d(#[76.7(c)(4)(iii) and applicable precedent. &D {O#-#X\  P6G;ɒP#эGalaxy cites Friendly Bible Church, Inc. v. Viacom Cable, 9 FCC Rcd 7907 (CSB 1994), rev. denied, 11  {O$-FCC Rcd 17115 (1996); Horizon Broadcasting Corporation v. Horizon Cable I Limited Partnership, 12 FCC Rcd  {OP%-17360 (CSB 1997) ("Horizon"); and  Horizon Broadcasting Corporation v.Cablevision of Michigan, Inc., 12 FCC Rcd 17365 (CSB 1997). In support of these contentions, Galaxy notes particularly the"2 ,>(>(II."  d(#last sentence of the September 1996 letters asking for notification of any objections to "this mandatory  S-carriage request."{  {O@-#X\  P6G;ɒP#эSee Opposition, at p. 2 and Exhibit 1.{  S- 8.` ` Paxson opposes the dismissal request by asserting that its September 1996 letters were  d(#must carry election notices that made specific reference to Section 76.64(f) of the rules providing for must  d(#carry election notifications and were not must carry requests, as Galaxy contends. Paxson contends that,  S- d(#in Horizon we found letters virtually identical to Paxson's September 1996 lettersZ {O -#X\  P6G;ɒP#эSee Paxson Reply at pp. 58 and Exhibit 1. to constitute must  d(#carry election notifications and not must carry requests that establish a must carry complaint filing  S- d(#[deadline.s {ON -#X\  P6G;ɒP#эHorizon, 12 FCC Rcd, at 17362.s Therefore, Paxson argues the similar September 1996 letters in this case did not establish any  d(#[deadline for filing a must carry complaint. Paxson asserts further that Galaxy's January 1997 letters also  d(#[may not be considered as denials of must carry triggering a complaint filing deadline. Paxson argues that  SJ - d(#[the Commission made it clear in the Must Carry OrderJ ~ {Oh-#X\  P6G;ɒP#эPaxson cites Must Carry Order, 8 FCC Rcd, at 2995. that cable operators may not unilaterally trigger  d(#the must carry complaint filing deadline. Paxson contends that requests for carriage of KPXCTV were  d(#@in fact made by its October 1997 letters, which made specific references to Section 614 of the  d(#LCommunications Act and rule Section 76.61 providing for must carry requests where a television station  d(#{believes that a cable operator fails to meet its must carry obligations. Paxson argues that since the  d(#complaint was filed within sixty days from the date Galaxy was obligated to respond to the October 1997  d(#must carry requests, the complaint is timely filed. Finally, Paxson contends that since Galaxy opposed  d(#the complaint only on the basis of the invalid procedural argument and did not contest any of its evidence establishing KPXCTV as a local station, an order for carriage should be issued.  S-( DISCUSSION AND ANALYSIS \  Sl-  39.` ` We find the complaint to be timely filed and conclude, based on information of record,  d(#including Paxson's commitment to purchase the requisite equipment necessary to ensure delivery of a good  d(#quality signal to Galaxy's cable system headends, that an order for carriage of KPXCTV should be  S- d(#issued. As Paxson points out, in Horizon we found letters virtually identical to Paxson's September 1996  S- d(#letters {O~-#X\  P6G;ɒP#эSee Paxson Reply at pp. 58 and Exhibit 1. to constitute must carry election notifications pursuant to Section 76.64(f), and not must carry  S- d(#requests under Section 76.61 that trigger a must carry complaint filing deadline.s {O!-#X\  P6G;ɒP#эHorizon, 12 FCC Rcd, at 17362.s Galaxy provided no  d(#basis for reaching a different result here. The request in the last sentence of these letters for notification  d(#of any objections does not justify construing these election letters as must carry requests. We believe that  d(#any ambiguity concerning the effects of these letters that may arise from that last sentence is removed by  d(#the specific statement in the letters that the station "elects mandatory carriage" and by the specific  d(#Lreference to Section 76.64(f) also contained in these letters. We also find that Galaxy apparently treated"4 ,>(>(II["  d(#these letters as election notices under Section 76.64(f), because it did not respond to them within thirty  S-days by means of a Section 76.61(b) notice of carriage refusal.tZ {O@-#X\  P6G;ɒP#эWe had no occasion to focus in Horizon on the last sentence of the election letters considered there, because any ambiguities about the existence of a must carry request was clearly dispelled by subsequent correspondence, the dates of which rendered the complaint in that case untimely. t  S- C10.` ` In this connection, the Commission, in the Must Carry Order, pointed out that the  d(#<statutory requirement for notice to a cable operator of any failure to comply with its must carry obligations  d(#before a must carry complaint may be filed applies even if the cable operator first notifies the station of  S- d(#-its intent not to carry the station.o {O -#X\  P6G;ɒP#эMust Carry Order, at 2995.o In other words, the prerequisite for the filing of a must carry complaint  d(#[in this case was the submission by Paxson to Galaxy of a Section 76.61 must carry request. In this case,  d(#{as of January 6, 1997 when Galaxy submitted its denial, no request for carriage of KPXCTV was  d(#outstanding. On that record, we conclude that Galaxy's January 6, 1997 letter was not in response to any  Sr- d(#must carry request and therefore did not establish any must carry complaint filing deadline.Kr| yO- d(##X\  P6G;ɒP#эThere is no statutory provision or provision in our must carry regulations that required Paxson to give Galaxy a Section 76.61 notification of violation within any date certain following receipt of Galaxy's January 6, 1997 letter.K However,  d(#>Paxson did submit to Galaxy its requests for carriage of KPXCTV on October 27, 1997 and filed its complaint on January 23, 1998 within ninety days thereafter. Therefore, the complaint was timely filed.  S - n11.` ` Galaxy defended against this must carry complaint solely in reliance on the rejected theory  d(#that the complaint was untimely filed. Galaxy therefore presented nothing to dispute Paxson's  d(#[representations that television station KPXCTV is located in Denver, Colorado and in the Denver ADI,  d(#that the cable systems operated by Galaxy serving Lyons, Colorado, and portions of Larimer County,  d(#Colorado are also located in the Denver ADI, or that Galaxy's carriage of KPXCTV will not cause any  d(#increase in Galaxy's copyright liability. Based on these unchallenged representations, we find that KPXC d(#TV is a local television station qualified under the provisions of 47 C.F.R.  76.55(c) for carriage on  d(#Galaxy's cable systems, provided it delivers a good quality signal to the headends of Galaxy's cable  d(#systems. In this regard, we find also that Paxson has made a commitment to purchase the requisite  d(#equipment necessary to ensure signal delivery to Galaxy's cable system headends. Based on these findings, we conclude that an order for carriage of KPXCTV should be issued.  S- 1CORDERING CLAUSES ă  S- 12.` ` Accordingly, IT IS ORDERED , pursuant to Section 614 of the Communications Act of  Sz- d(#z1934, as amended (47 U.S.C. 534), that the complaint of Paxson Denver License, Inc. ("Paxson") IS  SR- d(#yGRANTED , and Galaxy Telecom, L.P. ("Galaxy") IS ORDERED to commence carriage of television  d(#station KPXCTV on its cable systems serving Lyons, Colorado, and portions of Larimer County,  d(#=Colorado within sixty (60) days after Paxsoninstalls the equipment necessary to provide a good quality signal to Galaxy's cable system headends.
