                  MEMORANDUM OPINION AND ORDER

   Adopted:  April 28, 1997             Released:  April 29, 1997 

By the Chief, Consumer Protection and Competition Division, Cable Services Bureau:

     1.   On June 14 and June 21, 1995, Masada Cable Partners, L. P. ("Masada") filed appeals
of local rate orders adopted on May 15 and May 22, 1995, respectively, by the Townships of
McDonough and Stockbridge, Georgia (the "Townships").   The Townships did not file an
opposition to either of the appeals.  On April 21, 1997, Masada through its attorney submitted  letters
stating that the matters at issue in both of the appeals have been settled, withdrawing both appeals
and requesting that both cases be dismissed. 

     2.   Accordingly, IT IS ORDERED, pursuant to authority delegated by Section 0.321
of the Commission's rules, 47 C.F.R.  0.321, that the appeals by Masada Cable Partners, L. P. of
the local rate orders of the Townships of McDonough and Stockbridge, Georgia ARE DISMISSED.
