                             ORDER

   Adopted:  February 26, 1997          Released:  February 27, 1997

By the Chief, Cable Services Bureau:

     1.   By letter dated January 24, 1997, Continental Cablevision, Inc. ("Continental") seeks
to extend the filing date, from March 1, 1997, to May 1, 1997, for its next set of Form 1205s due
under its Social Contract with the Commission, as amended.  If the filing date is extended, the
revised equipment and installation rates would become effective on or after June 1, 1997. 
Continental seeks the same extension for Form 1205s it will file on behalf of systems it recently
acquired from TCI Communications, Inc. and Cox Communications, Inc. ("Acquired Systems"). 
The Acquired Systems are listed in the Appendix.

     2.   Continental states that due to the addition of systems to the Social Contract in 1996,
it requires an additional two months from March 1, 1997, the date it claims it now must file, to
prepare and file its next set of Form 1205s.  Continental also claims that an extension would allow
it to include the Acquired Systems in its Social Contract Form 1205 filings if the Commission
approves Continental's recent request to add the Acquired Systems to the Social Contract.

     3.   The Social Contract establishes the Form 1205 filing deadline as January 1 of each
year.  However, on December 20, 1996, we issued an order granting an extension of time for all
operators to file their 1996 Form 1205s.  Operators using the annual rate adjustment system were
permitted to delay the filing of Form 1205 until the filing date of their next Form 1240.  Operators
using the quarterly rate adjustment system were permitted to delay filing Form 1205 until 60 days
after the end of their fiscal year.  Continental states that the order permits Continental to delay filing
its Form 1205s until March 1, 1997.

     4.   Continental projects that its Form 1205s will support an increase in its converter rates. 
Therefore, a two-month extension of the filing deadline will delay this projected rate increase. 
Because subscribers will not be harmed by an extension of the filing deadline, but in fact may benefit
from it, we will grant Continental's request.

     5.   Accordingly, IT IS ORDERED that Continental's request for an extension of time
to file Form 1205s for systems included in the Social Contract and for the Acquired Systems IS
GRANTED to and including May 1, 1997.

     6.   This action is taken by the Chief, Cable Services Bureau, pursuant to authority
delegated by Section 0.321 of the Commission's rules.
