Dear Mr. Davidson:

     In your letter of January 22, 1996, you asked whether a cable operator that files a
December 1995 FCC Form 1240 on or before February 1, 1996, must later file the updated
January 1996 FCC Form 1240, provided that the operator (1) previously gave notice of its
proposed rate filing under Section 76.922(e)(1) of the Commission's rules; (2) completes the
December 1995 Form 1240 in accordance with the corrected instructions specified in the
Bureau's January 19, 1996 Public Notice (DA 96-40) and (3) includes a copy of the
corrected January 1996 Form 1240 instructions with its filing.  

     We believe an operator that files a December 1995 FCC Form 1240 on or before
February 1, 1996 need not also file the January 1996 FCC Form 1240, provided that (1) the
operator, as of January 26, 1996, has given notice of its proposed filing date in accordance
with Section 76.922(e)(1) of the Commission's Rules (2) the operator completes the
December 1995 Form 1240 in accordance with the corrected instructions specified in the
Bureau's January 19, 1996 Public Notice and (3) the operator includes a copy of the
corrected January 1996 Form 1240 instructions with its filing.
